StallionOS Terms of Service · version 1.2

StallionOS -- Terms of Service and Acceptable Use Policy

Version: 1.2
Effective: October 22, 2026
Provider: Valeor LLC, a Minnesota limited liability company ("we", "us", "our")
Product: StallionOS (the "Platform")
Contact: nate@valeor.io

v1.2 changes: provider is Valeor LLC; Sections 2, 4, 8, 9 and 14 updated.

1. Acceptance

By creating an account, accessing, or using StallionOS (the "Platform"), you agree to these Terms of Service and the Acceptable Use Policy in Section 9 (together, the "Terms"). If you are agreeing on behalf of a firm or other entity, you represent that you have authority to bind that entity, and "you" means that entity.

If you do not agree, do not create an account or use the Platform.

2. The Platform

StallionOS is deal underwriting and financial modeling software. It ingests public and customer-supplied data and produces financial models, analyses, exports, and related outputs (collectively, "Outputs").

The Platform is provided as a service. We may modify, add, or remove features. We will not materially degrade functionality you are actively relying on during an active pilot without notice.

Some Outputs include narrative text drafted by an AI model. Every number in an Output is calculated by our deterministic engine, not by the AI model. You should review narrative text before relying on it.

3. Accounts and Access

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account.

Access is granted to named individual users at your firm. You may not share credentials, allow access by anyone outside your firm, or permit any person or entity to access the Platform on your behalf other than your authorized users.

We may suspend or revoke access at any time, with or without cause, and for a pilot account, at any time and for any reason.

4. Pilot Terms (Free Trial)

If your account is designated as a pilot account (your "free trial"):

  • Access is provided at no charge for the trial period we communicate to you when your trial begins. Your trial begins on your first access to the Platform's full functionality following general availability of the Platform, not on the date you create your account.
  • At the end of the trial period, your account converts to read-only: you can view models you have already created, but cannot create or run new ones until you begin a paid subscription.
  • Pilot accounts are provided without service level commitments.
  • We may end a pilot early on notice if the Platform is used outside these Terms.

5. Ownership and Intellectual Property

5.1 Our property

The Platform -- including all software, source code, object code, models, methodologies, calculation engines, derivation logic, data pipelines, user interfaces, designs, documentation, and the StallionOS and Valeor names and marks -- is and remains our exclusive property, protected by copyright and other applicable law. Nothing in these Terms transfers any ownership interest to you.

We reserve all rights not expressly granted.

5.2 Your license

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for your firm's internal business purposes during your active pilot or subscription.

That is the entire grant. It is a right to use the running service. It is not a license to the software itself.

5.3 Your data

You retain all right, title, and interest in data you upload or supply ("Customer Data"). You grant us only the limited right to process Customer Data as necessary to provide the Platform to you.

5.4 Outputs

You own the Outputs generated from your Customer Data and may use them freely for your firm's business purposes, including in investment committee materials, memos, and communications with your own counterparties.

You may not redistribute, resell, or make Outputs available as a product or service to third parties, or use Outputs to provide underwriting services to third parties as a business.

5.5 Feedback

If you give us feedback, suggestions, or feature requests, we may use them without restriction, obligation, or compensation. Feedback does not become your Confidential Information.

6. Restrictions

You will not, and will not permit any person to:

  1. Copy, reproduce, republish, download, or archive any part of the Platform's source code, object code, scripts, or software components, by any means, including automated extraction from the browser.
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, calculation methodology, or ideas underlying the Platform.
  3. Create any derivative work of, or any product or service that replicates, substantially reproduces, or is derived from, the Platform.
  4. Access the Platform in order to build a competing product, or for any competitive analysis, benchmarking, or feature-comparison purpose.
  5. Scrape, crawl, harvest, or use any automated means to access, extract, or index the Platform or its data, or access the Platform other than through the interfaces we provide.
  6. Circumvent, disable, or interfere with any security, access control, rate limiting, authentication, or usage-metering feature.
  7. Remove, obscure, or alter any proprietary notice, watermark, methodology stamp, or attribution appearing in the Platform or in any Output.
  8. Sublicense, rent, lease, sell, assign, or otherwise transfer your access rights.
  9. Use the Platform in violation of applicable law, including securities laws.

Any breach of this Section is a material breach and grounds for immediate termination of access.

7. Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). Each party will protect the other's Confidential Information with at least reasonable care and will not disclose it except to personnel who need to know it and are bound by comparable obligations.

The Platform, its methodology, its architecture, its calculation logic, its non-public roadmap, and its pricing are our Confidential Information. Your Customer Data and deal information are your Confidential Information.

Confidential Information does not include information that is or becomes public through no fault of the recipient, was already rightfully known, or is independently developed without reference to the disclosing party's information.

These obligations survive termination for three (3) years, and indefinitely for trade secrets.

8. Privacy and Data Handling

What stays on your device. Private deal data you load into the Platform's private path is read and modeled in your browser, not on our servers. It is not transmitted to us. Private workspaces, private scenarios and notes are kept in your browser's storage on your device, where your device's own security protects them. We cannot see, recover or restore them. If you clear your browser data or lose the device, they are gone unless you have saved a workspace file. Keeping copies is your responsibility.

What we store. Our servers store your account information, your entitlements, your firm settings and output templates, and the models, scenarios and tags you save to your account. Private deal models are not saved to your account; they stay on your device, as described above.

Security incidents. If we become aware of unauthorized access to data we store about you, we will notify you without undue delay, and in any event as applicable law requires, and tell you what we know and what we are doing about it.

We do not use Customer Data to train models or to build features for other customers. Customer Data is isolated by account.

9. Acceptable Use Policy

You will not use the Platform to:

  • Upload material you do not have the right to upload, including data supplied to you under a confidentiality obligation that prohibits processing by a third-party service, without confirming you are permitted to do so.
  • Upload malware, or attempt to compromise, probe, or disrupt the Platform or its infrastructure.
  • Attempt to access another customer's account, data, or models.
  • Conduct security testing, penetration testing, or vulnerability scanning without our prior written permission.
  • Misrepresent Outputs as independently audited, verified, or as the work of a licensed professional where they are not.
  • Impose an unreasonable load on the Platform, or use it in a manner intended to extract the underlying dataset or methodology in bulk.

You represent that you have the rights needed to upload and process the data you supply. You will indemnify us against third-party claims arising from data you supplied without those rights.

10. No Investment, Legal, Tax, or Accounting Advice

The Platform is analytical software. Outputs are informational and depend on inputs, assumptions, and third-party data sources.

We are not an investment adviser, broker-dealer, accountant, or law firm. Nothing produced by the Platform is investment, legal, tax, or accounting advice, or a recommendation to buy, sell, or hold any security or to enter into any transaction.

You are solely responsible for your investment decisions and for independently verifying any Output you rely on. You should not make an investment decision on the basis of an Output without your own diligence and professional advice.

11. Third-Party Data

The Platform incorporates data from public and third-party sources. We do not warrant the accuracy, completeness, or timeliness of that data. Third-party data may be subject to its own terms, and your use of Outputs derived from it is at your own risk.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

This applies with particular force to pilot accounts, which are provided as an accommodation and without any service commitment.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

These limits do not apply to your breach of Section 6 (Restrictions) or Section 7 (Confidentiality).

14. Term and Termination

These Terms apply from account creation until terminated.

You may stop using the Platform and close your account at any time.

We may suspend or terminate your access immediately for breach of Sections 6, 7, or 9, and otherwise on notice.

On termination: your license under Section 5.2 ends immediately; you must stop accessing the Platform; and you may request, within thirty (30) days, an export of the data we store about you (Section 8), after which we may delete it. We cannot export data that never left your device.

Sections 5, 6, 7, 10, 12, 13, and 15 survive termination.

15. General

Governing law. These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules.

Dispute resolution. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and each party consents to the personal jurisdiction of those courts.

Changes to these Terms. We may update these Terms. Material changes take effect thirty (30) days after we notify you. Continued use after that constitutes acceptance. We will record the version you accepted.

Entire agreement. These Terms are the entire agreement between us regarding the Platform and supersede any prior discussions. If you and we sign a separate written agreement covering the Platform, that agreement controls where it conflicts.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets, or reorganization, including a transfer to a corporate entity formed to operate the Platform.

Severability. If any provision is unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.
